Terms & Conditions – Sabziwale

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Sabziwale (hereinafter referred to as “the Company”, “We”, “Us”, or “Our”), having its principal place of business in Bhopal, Madhya Pradesh, India, and any natural or legal person (“User”, “Customer”, or “You”) who accesses, uses, or transacts through the Sabziwale mobile application, website, or any associated platform (“Platform”).

By accessing or using the Platform, You acknowledge that You have read, understood, and agreed to be bound by these Terms, the Privacy Policy, and all other rules, guidelines, and policies issued by the Company from time to time in accordance with applicable Indian laws.


1. DEFINITIONS

For the purposes of these Terms:
(a) “Products” shall mean fresh fruits, vegetables, and other related perishable items offered for sale on the Platform.
(b) “Services” shall mean online ordering, payment processing, packaging, and home delivery services provided by Sabziwale.
(c) “Delivery Partner” shall mean any independent delivery personnel or logistics service provider engaged by Sabziwale for delivering Products to Customers.
(d) “Customer Account” shall mean the registered account created by the User on the Platform to avail of Services.


2. SCOPE OF SERVICES

Sabziwale provides a digital marketplace to facilitate the online purchase and delivery of fruits and vegetables within Bhopal city, Madhya Pradesh. The serviceable areas may vary and shall be updated periodically on the Platform.

The Company does not guarantee the availability of specific Products at all times, as the same depends on seasonal and logistical availability.


3. ELIGIBILITY

Use of the Platform is permitted only to individuals who are competent to contract under the provisions of the Government of India. Persons under the age of 18 years are not eligible to use or transact through the Platform independently.


4. ACCOUNT REGISTRATION AND USER RESPONSIBILITY

  • You shall ensure that the information provided during registration is true, accurate, current, and complete.
  • You are solely responsible for maintaining the confidentiality of login credentials and restricting access to Your account.
  • You agree to accept responsibility for all activities that occur under Your account.
  • The Company reserves the right to suspend or terminate access to Your account for any misuse, misrepresentation, or violation of these Terms.

5. PRICING AND PAYMENT TERMS

  • All prices displayed on the Platform are in Indian Rupees (INR) and inclusive of applicable taxes, unless otherwise specified.
  • Prices are subject to change without prior notice due to fluctuations in the market.
  • Payment options include UPI, debit/credit cards, net banking, mobile wallets, or cash on delivery (COD), where available.
  • Payments processed via third-party gateways are governed by the terms of such payment providers, and Sabziwale shall not be liable for any transaction failure, delay, or unauthorized charges arising therefrom.

6. ORDER PLACEMENT AND ACCEPTANCE

  • An order placed by the Customer constitutes an offer to purchase Products from the Company.
  • The Company reserves the right to accept or reject such offers based on Product availability, delivery feasibility, or other operational reasons.
  • A confirmation message or notification shall constitute acceptance of the order by the Company.

7. CANCELLATION POLICY

  • Customers may cancel an order only until the packaging process begins.
  • Once an order status changes to “Out for Delivery,” it shall not be eligible for cancellation under any circumstance.
  • The Company reserves the right to cancel any order due to unavailability of Products, pricing errors, technical issues, or other reasonable grounds. In such cases, the Customer shall be entitled to a full refund of any prepaid amount within a reasonable period.

8. DELIVERY POLICY

(a) Nature of Delivery Services

  • Deliveries shall be executed by authorized Delivery Partners engaged by the Company.
  • Delivery timelines are indicative and subject to variables such as traffic, weather, and operational constraints.

(b) Customer Responsibility During Delivery

  • Customers shall ensure their availability at the delivery address during the specified slot.
  • Upon receipt of the Products, the Customer is required to inspect the items in the presence of the Delivery Partner.

(c) Completion of Delivery

  • Once the Customer or their authorized representative accepts the delivery, signs or acknowledges receipt, or makes payment (in case of COD), the delivery shall be deemed complete and final.

9. SHIPPING POLICY

(a) Geographical Coverage:
Sabziwale currently provides shipping and delivery only within select areas of Bhopal, Madhya Pradesh. The Company shall update serviceable pin codes on the Platform as expansion occurs.

(b) Dispatch and Handling:
All orders shall be processed for same-day or next-day delivery, subject to product availability, delivery slot selection, and serviceable area constraints.
Sabziwale provides multiple delivery slots on its Platform to enable Customers to conveniently choose their preferred delivery time while placing an order. The available delivery slots, along with their respective time windows, shall be displayed at the time of checkout, and Customers are required to select a slot prior to confirming the order. Delivery shall be made within the chosen slot, subject to reasonable operational feasibility and external factors beyond the Company’s control.

(c) Shipping Charges:
Applicable delivery or service charges shall be displayed at checkout. The Company reserves the right to revise such charges at any time without notice.

(d) Failed Deliveries and Refund:
In case of a failed delivery due to Company error (such as incorrect dispatch or non-delivery despite Customer availability), the Customer shall be entitled to a full refund of the amount paid for the specific order, credited to the original mode of payment.


10. RETURNS AND REFUNDS POLICY

(a) Inspection at Delivery:
Customers are required to check and verify all Products at the time of delivery in the presence of the Delivery Partner.

(b) Eligibility for Return/Refund:

  • Returns or refunds shall be accepted only if the Products are found to be damaged, spoiled, or of unacceptable quality at the time of delivery.
  • The issue must be reported immediately to the Delivery Partner before he/she leaves the delivery location.
  • Photographic or video evidence may be requested by the Company to validate the claim.

(c) Exclusions:

  • Once the Customer verifies and accepts the delivery, or after the Delivery Partner leaves, no return or refund request shall be entertained.
  • Minor variations in size, weight, color, or appearance arising from natural differences in agricultural produce shall not be considered defects.

(d) Refund Mode and Timelines:
Approved refunds shall be processed within 7 to 10 business days to the original payment method or credited as wallet balance. Sabziwale’s decision on refund validity shall be final and binding.


11. DELIVERY PARTNERS

  • Delivery Partners engaged by the Company act as independent contractors and not as employees or agents of Sabziwale.
  • The Company shall not be responsible for any negligence, misconduct, or unlawful act committed by a Delivery Partner outside the course of his or her assigned duties.
  • Customers are expected to maintain civility and safety during interactions with Delivery Partners. Any abusive or unlawful conduct may result in account suspension and legal action.

12. LIMITATION OF LIABILITY

To the fullest extent permitted under Indian law, Sabziwale, its affiliates, and officers shall not be liable for:
(a) Any indirect, incidental, or consequential losses arising from Platform usage;
(b) Delays in delivery caused by unforeseen circumstances;
(c) Quality deterioration of perishable items post-delivery;
(d) Acts or omissions of third-party service providers or payment gateways.


13. INDEMNIFICATION

You agree to indemnify and hold harmless Sabziwale, its management, employees, and affiliates from any claims, liabilities, or damages arising from breach of these Terms or misuse of the Platform.


14. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India, and the courts at Bhopal, Madhya Pradesh shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms.
